Legal & trust

Terms & Conditions

These terms govern use of the AppOsprey website and general purchases of our software subscriptions, project services, hardware and related IT services.

Effective date: 16 September 2026

1. Introduction and acceptance

These Terms & Conditions apply to the website and products or services provided by APPOSPREY in Sri Lanka. In these terms, “APPOSPREY”, “we”, “us” and “our” refer to the business operating the AppOsprey brand. “Customer”, “you” and “your” refer to the person or organisation using the website, purchasing a product or entering into a service arrangement with us.

By using this website or purchasing from us, you agree to these general terms. A signed quotation, order form, subscription agreement, project agreement or other written arrangement may add or replace terms for a particular transaction. If there is a conflict, the signed or specifically agreed document takes priority for that transaction to the extent permitted by law.

2. Products and services

APPOSPREY may provide:

  • Cloud-based POS, inventory, billing and business software.
  • AI-assisted OCR and stock-entry capabilities.
  • Custom software, web applications and e-commerce websites.
  • Mobile application development.
  • Computer hardware and POS accessories such as thermal printers and barcode scanners.
  • Installation, configuration, maintenance, support, consulting and related technology services.

Website descriptions provide general information. The confirmed scope, features, limits, compatibility, price, delivery and support arrangement are those recorded in the applicable quotation, invoice, order or customer agreement.

3. Software subscriptions and licensing

During an active subscription, APPOSPREY grants the customer a limited, non-exclusive and non-transferable right to use the subscribed software for the customer's internal business operations within the agreed package limits. The subscription does not transfer ownership of the software, source code, platform design, trademarks or other APPOSPREY intellectual property.

Package limits, start date, billing frequency and subscription fee are stated in the applicable order or customer agreement. An upgrade, downgrade or material package change should be confirmed by both parties.

4. Account registration and security

Customers must provide accurate account and billing information and keep it reasonably current. Customers are responsible for protecting usernames, passwords and access devices, assigning suitable user permissions and notifying us promptly of suspected unauthorised access.

An account may not be shared beyond authorised users or used to bypass package limits, security controls or access restrictions.

5. Pricing, billing and payment

Prices may be shown on our website or provided through a quotation, invoice or agreement. We may update website prices for future purchases. A confirmed transaction remains subject to the price and payment terms accepted for that transaction unless both parties agree otherwise.

Subscription renewals follow the agreed billing cycle. Automatic recurring charging applies only where it is expressly offered and authorised. If a payment is overdue or fails, APPOSPREY may provide a reminder, apply any agreed grace period and suspend or terminate access in accordance with the applicable customer agreement. Amounts already due remain payable.

Payments may be processed by a third-party gateway such as PayHere. The gateway's own terms, supported payment methods and processing rules also apply. APPOSPREY may receive a transaction reference and payment status but payment credentials submitted directly to the gateway are handled by that provider.

6. Cancellation, suspension and termination

Subscription cancellation should be requested before the next billing cycle begins. Unless otherwise agreed, cancellation takes effect at the end of the current paid service period. A request made after a new cycle begins may be discussed individually, including whether a refund for genuinely unused days is appropriate. No unused-day refund is automatic.

We may suspend or terminate a service for non-payment, unlawful use, material misuse, a serious security risk or a material breach of an agreement. Where reasonably possible, we will provide notice and an opportunity to correct the issue before termination.

Returns and refunds are governed by our Return, Refund & Cancellation Policy and any applicable service-specific agreement.

7. Customer responsibilities and acceptable use

Customers must:

  • Provide accurate business, product, stock, pricing, tax, billing and user information.
  • Review settings, user access, AI-assisted entries and reports before relying on them for important decisions.
  • Maintain suitable internet access, electrical power, devices and a supported operating environment.
  • Use the website and services lawfully and respect third-party rights.
  • Keep billing, email, telephone and administrator contacts current.

Customers must not attempt unauthorised access, introduce harmful code, disrupt services, reverse engineer protected software, misuse another person's data, resell access without permission or use an APPOSPREY service for unlawful or fraudulent activity.

AI-assisted and OCR features can produce incomplete, incorrect or ambiguous results. The customer must review extracted information before accepting it into inventory, pricing, purchasing, accounting or other business records.

8. Intellectual property and customer data

APPOSPREY and its licensors retain ownership of the AppOsprey platform, source code, website content, designs, documentation, trademarks and reusable technology. Ownership and permitted use of custom project deliverables are determined by the relevant project agreement.

The customer retains ownership of business data entered into or generated through the subscribed service. The customer authorises APPOSPREY and its necessary service providers to process that data to operate, secure, maintain and support the service, follow customer instructions and meet applicable legal obligations. Further details are in the Privacy Policy.

9. Availability, maintenance, updates and support

APPOSPREY may provide updates, bug fixes, security patches, maintenance and platform improvements. Notice of planned maintenance that is expected to materially disrupt access will follow the applicable customer agreement where reasonably practicable. Emergency maintenance or urgent security work may occur without advance notice.

During an active paid subscription, we will use reasonable efforts to investigate reproducible defects in the standard platform. Standard bug support does not include a new feature, customer-specific workflow, unsupported hardware, customer network failure, incorrect configuration or a third-party service failure unless separately agreed.

We do not guarantee uninterrupted or error-free operation. Services may be affected by maintenance, internet or power failure, cloud infrastructure, email delivery, AI or OCR providers, device drivers, payment services or other circumstances outside our reasonable control.

10. Custom development and professional services

Custom software, websites, mobile applications, integrations, data conversion and consulting work require an agreed scope, price, payment schedule, responsibilities and delivery arrangement. A requested change may require a revised price or timeline.

Delivered project portions and completed services are non-refundable. Amounts relating to agreed work that has not yet been delivered may be eligible for refund following cancellation and review under the Return, Refund & Cancellation Policy and the applicable project agreement.

11. Hardware, compatibility and delivery

Hardware specifications, price, included accessories and warranty are those shown in the applicable quotation or invoice. Compatibility depends on the model, operating system, drivers, network and configuration. We cannot guarantee compatibility with every device or environment unless it has been specifically confirmed in writing.

Hardware within the Western Province is normally delivered within one week after order, stock and payment confirmation. Timing elsewhere in Sri Lanka is agreed with the customer. Incorrect and defective items are handled under the Return, Refund & Cancellation Policyand the warranty period stated on the invoice.

12. Warranties and limitation of responsibility

APPOSPREY will provide products and services with reasonable care and in accordance with the applicable agreement. Except for an express warranty in an invoice, quotation or signed agreement and any right that cannot be excluded by law, no additional warranty is created by general website information.

To the extent permitted by applicable law, APPOSPREY is not responsible for indirect or consequential loss arising from inaccurate information entered or approved by a customer, misuse, unauthorised access caused by customer credential handling, customer hardware or network failure or a third-party service outside our reasonable control.

Nothing in these terms excludes or limits responsibility that cannot lawfully be excluded or limited. Any transaction-specific limitation in a signed agreement applies only to the extent permitted by law.

13. General terms

Force majeure

A party is not responsible for delay or failure caused by an event beyond its reasonable control, including widespread communications, power or cloud-service failure, natural disaster, civil disturbance, government action or similar event. The affected party should take reasonable steps to reduce the disruption and resume performance when practicable.

Changes to these terms

We may update these general terms for future use as our products, services or legal obligations change. The current version will be published on this page with its effective date. A material change to an existing signed customer agreement requires the process stated in that agreement.

Severability and waiver

If any provision is found unenforceable, the remaining provisions continue to apply as far as legally possible. A delay in enforcing a provision does not automatically waive it.

Governing law and disputes

These terms are governed by the laws of Sri Lanka. The parties should first try to resolve a dispute in good faith. An unresolved dispute may be referred to a competent court in Sri Lanka, subject to any different dispute process in an applicable signed agreement and any non-excludable legal rights.
